Terms of service

The agreement for building and maintaining websites. Version of 29 July 2026.

1. General

This document is a public offer by the sole proprietor [sole proprietor: full name · tax number · registered address · state-register entry number] (the “Supplier”) to enter into an agreement for building and maintaining a website on the terms set out below.

Ordering the service through the form on the site or through a messenger means full and unreserved acceptance of these terms. The person who accepts the offer is the “Client”.

2. What is agreed

The Supplier builds a website according to the chosen tier, publishes it on the Client's domain, hands the Client the code and every access credential, and thereafter maintains the site on the terms of section 8.

The scope of each tier is published on the Prices page (hetoimos.com/tsiny/) and forms part of this agreement.

3. The demo

• The demo is produced free of charge and obliges the Client to pay nothing.
• The demo is published at the Supplier's technical address. The code, the files and the access credentials are not handed over before payment in full.
• Material from the Client's public pages may be used for the demo. At the Client's request the demo is deleted immediately.
• If the Client declines after seeing the demo, no payment and no consequence of any kind follows.

4. Tiers, timelines and scope

• A calling-card site — up to 3 working days.
• A company site — up to 5 working days.
• A site with a catalogue and calculations — up to 10 working days.
• A system built to order — the timeline and the price are set separately, after the job has been understood, and are agreed in writing before the work starts. The Supplier does not name a timeline before understanding the scope.

The clock starts on the day the Client confirms the order after seeing the demo and hands over the material needed for the work. It stops while the Supplier is waiting for material or for an answer from the Client.

5. Price, currency and tax

• The base price is set in US dollars and published on the Prices page.
• Settlement is made in hryvnia at the official rate of the National Bank of Ukraine.
• The hryvnia amount is fixed on the day of agreement and does not change until the order is complete, whatever the exchange rate does.
• The hryvnia figures on the site are indicative: they are converted at the rate for the date printed beside them and rounded up.
• We name the price before the work starts. If understanding the job changes it, we say so before starting — and until the Client has agreed, the Client owes nothing.
• Nothing is added on top of the agreed sum: no value-added tax is charged on the price of the services.
• The Supplier's tax status will appear here together with the registration details. The Supplier will use the Ukrainian simplified tax system (group 3) and will not be registered for VAT; confirmation of that status and the registration data will be entered in section 15 before the first payment. Until then we do not assert a status that is not yet registered — the same reason the markers at the top of this page stand in place of invented details.

6. Payment

• One payment, and only after acceptance. The Client sees the demo, sends revisions, and pays only once the work has been accepted. There is no prepayment on the “A calling-card site”, “A company site” and “A site with a catalogue and calculations” tiers.
• For the A system built to order tier the payment schedule is agreed separately and in writing before the work starts, and may involve stages with a prepayment.
• Payment is made by bank transfer to the sole proprietor's account. The Supplier issues a completion certificate and an invoice.
• The subscription (section 8) is invoiced monthly, starting from the day the site goes live.

7. Revisions

• The price includes revisions to the demo within the agreed scope: the Client sends a list of changes and the Supplier carries it out. The Supplier does not cap the number of such lists.
• Revisions that change the scope (new sections, new features, a change of tier) are paid separately. The price and the timeline are named before such work begins, not during it.

8. Maintenance (the subscription)

Maintenance starts on the day the site goes live and is paid monthly. The price per tier is published on the Prices page.

What is included

• renewing the domain and paying for hosting;
• daily backups;
• updates and security fixes;
• monitoring that the site is up, and fixing it when it is not;
• small edits to text, prices and photographs within the site's existing structure;
• a report on the site — once a month, on whichever channel the Client names;
• answers to enquiries on working days, on the channel the Client names.

What is not included

• new sections, new features and changes to the site's structure — these are separate work at a separate price, agreed in advance;
• advertising, promotion, filling a catalogue with products, photography;
• undoing the effects of changes made by the Client or by third parties without the Supplier's knowledge.

Cancelling

• The subscription runs month by month and can be cancelled at any moment, with no notice period. The month already paid for runs to its end; nothing further is invoiced.
• Cancelling the subscription does not take the site away from the Client. The code, the domain, the hosting and every password stay with them; the Supplier helps move the site wherever the Client says.
• After cancelling, the Client renews the domain and pays for hosting themselves.

9. Your materials

The Client confirms that they hold the rights to every material they hand over (text, photographs, logos, video) and grants the Supplier the right to use them to build the site. The Client is responsible for the content of those materials.

10. Rights to the result, handover and deletion

After payment in full, the site, the source files and every access credential pass to the Client. The Supplier keeps the right to mention the completed work in a portfolio — if the Client objects, a written note is enough.

At any moment, and not only after launch: on the Client's written request the Supplier either hands over control of the launched site — code, domain, hosting and all passwords — to whoever the Client names, or deletes the site together with its backups. Deletion is performed within 3 working days of the request being confirmed; the Supplier asks once, because the action cannot be undone.

11. Referral reward

The referral programme is set out separately: How we pay for a client. They form part of this agreement for anyone taking part in it.

• The reward is 15 % of the build fee for each new Client who came on a recommendation and paid for the work in full; the new Client gets 10 % off their own site.
• Payment within 5 working days of the referred Client settling in full.
• By default the reward is taken off the referrer's next invoice — for the subscription or for the next piece of work. Payment in cash is possible if the referrer is themselves a registered business and can invoice for the service; otherwise a payment to a private individual is subject to withholding of personal income tax and the military levy, and the amount received is smaller.
• If the referred Client withdraws or is refunded, the reward is recalculated in proportion to what was actually paid.

12. Liability

• The Supplier is not liable for outages at third-party services (hosting, domain registrars, payment systems, couriers, social networks).
• The Supplier does not guarantee any particular level of sales, search-engine position or number of enquiries, and makes no such promise anywhere on the site.
• The Supplier's liability is limited to the amount actually paid by the Client for the order in question.

13. Ending the agreement

Either party may withdraw from the agreement by notifying the other in writing. Work actually completed by the moment of withdrawal is paid for; any unused part of a prepayment is returned within 10 working days.

Where the Client is a private individual ordering the service other than for business purposes, the Ukrainian Law “On the Protection of Consumer Rights” on distance contracts also applies.

14. Other

The agreement is governed by the law of Ukraine. Disputes are settled by negotiation and, failing that, in court under Ukrainian law.

The Supplier may change the wording of this offer. Orders already paid for are governed by the version in force on the date of payment; referral rewards by the version in force on the date the referred Client was introduced.
